17. Limitation of Liability

To the maximum extent permitted by law, Sorkol shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data.

Where liability cannot be excluded by law, Sorkol's total aggregate liability arising out of or relating to the Services shall not exceed the total subscription fees paid by you to Sorkol during the twelve (12) months immediately preceding the event giving rise to the claim.

18. Indemnification

You agree to defend, indemnify, and hold harmless Sorkol, its affiliates, directors, officers, employees, contractors, and partners against any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms;
• Your violation of applicable law; or
• Your infringement of any third-party rights.

19. Force Majeure

Sorkol shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of government, war, terrorism, cyberattacks, labour disputes, pandemics, utility failures, internet disruptions, or failures of third-party infrastructure providers.

20. Changes to the Services and Terms

We may update or modify the Services and these Terms from time to time.

Where changes materially affect your rights or obligations, we will provide reasonable notice through the Services or by other appropriate means.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Where applicable, mandatory consumer protection laws in your jurisdiction remain unaffected.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Nigeria.
